                                                 CARSON VALLEY RECYCLING COMPANY, LLC.

1.   Parties.

This service agreement is made between Carson Valley Recycling, LLC of Minden, Nevada,(Recycler),and client.


2.   Terms of the Agreement.

This service agreement will be effective as of today’s date.  The agreement may be terminated by either party on 30 days prior written notice to the other.


3.   Duties of Recycler


a.      Pick up of Recyclable Materials.  In consideration of $35.64 paid by Customer, Recycler agrees to pick up recyclable materials as defined below where Customer’s  property abuts the street at client’s address between the hours of 5:00 am and 5:00 pm on  day of service of every other week during the term of this agreement.


b.      Recyclable Materials Defined.  Recycler shall pick-up from Customer aluminum/steel/tin, glass, plastics, white paper, mixed paper and cardboard ONLY.  Recycler reserves the right to reject any such materials of unusual size or weight or volume or, if in the opinion of the Recycler, any materials set out by Customer may contain hazardous waste.


c.     Container Service.  Recycler shall give to Customer quarterly amount of accepted recycle bags upon signing of contract and payment of quarterly fee for service and bags of $35.64.  Each bag shall be of distinct color or marking for Customer to use exclusively for recycling with Recycler.  All bags will be provided to Customer prior to scheduled pick-up and replacements can be picked up or dropped off as arrangements are made with Recycler.


4.   Customerʼs Duties. 


a.      Notice.  In the event Customer needs to contact Recycler to report an interruption in service or with any comments or complaints regarding the service provided Customer shall contact Recycler in person at 2222 Park Place Suite 1F or contact Recycler by telephone at 775-267-6524.


b.      Segregation of Recyclable Materials.  Customer shall segregate each type of recyclable material and place each type of material in the bag designated for that particular type of recyclable material in advance of setting out the bags used by the Customer for pick-up by Recycler.  Customer is encouraged to contact Recycler for instructions on segregating Customerʼs materials if Customer is unsure of which bag to use for that material.  Any materials of unusual size, weight or volume, or material of unknown type, may be set out by the Customer for pick-up by Recycler only upon prior contact with Recycler and upon the Recyclerʼs agreement to pick-up such material.  Any unaccepted items (garbage, hazardous waste, and anything other than traditional recyclable) will not be picked up and will be tagged and left at garage door.


c.      Access.  Customer shall set out the recyclable material in the proper bags for each such material at such point where Customerʼs  property meets the street or roadway accessing such property and approximately 3-5 ft. away from your designated DDI garbage can.  Recyclable material or bags set out far enough away from the street

or roadway that Recycler cannot immediately and easily reach the bag may not be picked up by Recycler, unless prior arrangements have been made.  No vehicles or other obstacles should be placed between the recyclable material set out for pick-up and the edge of the street or roadway. 


d.     Times for Set Out.  Customer shall set out the recyclable material intended for pick-up no earlier than 7:00 p.m. on the day preceding the scheduled collection day and no later than 5:00 a.m. on the scheduled collection day.  Customer shall retrieve all and or any unaccepted bags and any recyclable material not picked up no later than 8:00 p.m. on the scheduled collection day.



5.   Charges.     


a.      Quarterly Invoices.  Recycler will submit to Customer invoices for charges on a quarterly basis one month in advance of the accrual of each charge.  Charges for partial monthʼs service will be prorated on a thirty (30) day basis.


b.      Extra Fees.  Charges for pick-up of any materials not suitable for the bags provided by Recycler or requiring special handling by Recycler, and charges for additional bags or damage to bags provided, will be invoiced after the service is completed or the bags provided.     


c.      Payment Date.  Payment of all charges will be due on the first day of the month following receipt of the invoice by Customer.


d.     Changes in Charges.  Monthly charges may be modified by Recycler at each yearly anniversary of the service agreement by Recycler providing Customer thirty (30)days prior written notice of any such change in charges, upon prior approval through DDI


6.   Termination of Service. 

Upon the termination of this agreement Customer shall pay all charges for outstanding invoices due at the time of cancellation or termination and Recycler shall refund to customer any payments received from customer for services not earned at the time service ceases.  Customer shall promptly make available to Recycler all bags and other materials provided by Recycler for the purposes of this agreement.


7.   Indemnification. 

Customer shall fully indemnify, defend and save Recycler, DDI Inc., and Douglas County, harmless against any and all claims, suits, actions, liability and judgements for damages arising from materials received by Recycler from Customer.  These damages or penalties shall include damages arising from any acts by Recycler whether or not the

act or omission complained of is authorized, allowed, or prohibited by this service agreement.


8.   Applicable Law

The partiesʼ rights under this agreement, and the relationship between the parties is governed by, and will be interpreted in accordance with, the laws of the State of Nevada.
